END USER LICENSE AGREEMENT (EULA) FOR ARIA REAL ESTATE AGENT APP

This End User License Agreement (“Agreement”) is a legal agreement between you (“Agent,” “you,” or “your”) and Aria Real Estate Agent (“Company,” “we,” “us,” or “our”) governing your use of the Aria Real Estate Agent mobile application (“App”). By downloading, installing, or using this App, you agree to be bound by the terms of this Agreement.

1. LICENSE GRANT

Subject to your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Aria Real Estate Agent App on a compatible mobile device for the purpose of managing real estate listings, client communication, and other agent-related tasks in connection with real estate activities.

2. AGENT RESPONSIBILITIES

As an agent using the App, you agree to:

• Provide accurate information: You will provide accurate, truthful, and up-to-date information about yourself, your listings, and your services.
• Comply with laws and regulations: You are responsible for ensuring that your use of the App complies with all applicable local, state, and national laws, including real estate laws and regulations.
• Respect client confidentiality: You agree to maintain the confidentiality of any personal data or sensitive information regarding your clients accessed through the App.

3. RESTRICTIONS

You are prohibited from:

• Using the App for any illegal or unauthorized purposes, including but not limited to, false advertising, misleading clients, or providing incorrect information about properties.
• Modifying, reverse engineering, decompiling, or disassembling the App or attempting to extract its source code.
• Renting, leasing, or sublicensing the App to any third party.

4. DATA USAGE AND PRIVACY

The App may collect personal information, including but not limited to your name, contact information, location, and details of your real estate listings. By using the App, you consent to our collection, use, and sharing of your data as outlined in the Privacy Policy. The Company will use reasonable efforts to protect your data in accordance with applicable data privacy laws.

5. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in and to the App, including but not limited to copyrights, trademarks, and patents, belong to the Company or its licensors. You are granted no rights in or to the App other than the limited license granted in this Agreement.

6. TERMINATION

This Agreement is effective until terminated. We reserve the right to terminate or suspend your access to the App at any time, without prior notice, for conduct that we believe violates this Agreement or is harmful to other users, the Company, or third parties.

7. DISCLAIMER OF WARRANTIES

The App is provided “AS IS” without warranty of any kind. To the fullest extent permitted by law, the Company disclaims all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. LIMITATION OF LIABILITY

To the extent permitted by law, in no event shall the Company be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of your use of or inability to use the App, including but not limited to, loss of profits, loss of data, or business interruption.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, agents, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of your use of the App or your violation of this Agreement.

10. CHANGES TO THIS AGREEMENT

We may update this Agreement from time to time. Any changes will be posted on the App, and continued use of the App after such changes constitutes your acceptance of the new terms.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [your country/state], without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts of [your jurisdiction].
